Bylaws Of The Fort Worth Bonsai Society



Article I: Name

The name of the organization shall be the Fort Worth Bonsai Society.

Article II: Objectives

The Fort Worth Bonsai Society is declared to be a nonprofit and educational organization whose primary objectives are:

A. To promote interest in and the enjoyment of Bonsai.

B. To assemble and make available information on the culture of Bonsai.

C. To promote the collection and exhibition of Bonsai.

D. To acquaint Bonsai fanciers with each other.

Article III: Membership

Classification of members shall be as follows:

A. Active individual membership.

B. Joint membership (Husband and wife).

C. Student membership (Student ID or other identification required).

D. Honorary membership (Non-dues paying).

1. Upon payment of dues, a new member shall be qualified to vote

and receive all privileges and benefits of the society.

2. The members shall fix the amount of dues from time to time.

3. The term of membership shall be on an annual basis beginning May 1.

Article IV: Officers

A. The officers shall be responsible for executing the policies and carrying out the programs of the Society.

B. The officers shall consist of a President, Vice-President, Secretary, and Treasurer. Other permanent or temporary officers may be designated by the members.

1. The President shall preside at all meetings, appoint committees and perform all other duties pertaining to the chief executive of an organization.

2. The Vice-President shall be Program Chairman and assume all of the duties of the President if the latter is unable to serve.

3. The Secretary shall record the minutes of the Society's meetings and maintain all records of the Society's activities. The Secretary shall also conduct all correspondence of the Society.

4. The Treasurer shall receive all Society funds or dues and deposit them in a bank account in the Society's name. The Treasurer shall keep a book record of the receipts and disbursements.

C. The officers shall be elected every two (2) years at the November meeting and assume their duties at the January meeting.

D. At the September meeting, the President shall appoint a nominating committee, which shall consist of a chairperson and two or more committee members, to select a slate of officers for presentation at the October meeting.

E. The officers shall constitute the Executive Board and shall be empowered to formulate policies and recommendations for the consideration of the Society.

F. The President and Vice-President shall serve no more than two (2) consecutive terms of office.

G. Any officer who fails to carry out the normal responsibilities of his office may be removed by a majority vote of the membership and his vacancy filled by a special election.

Article V: Sales

A. A minimum of 10% of all sales dollars realized by members of the FWBS will be contributed back to the the club treasury when such sales are made at FWBS meeting, at FWBS- sponsored shows, or at any other place where the designation "The Fort Worth Bonsai Society" is used in the same sales booth.

B. A check for the 10% of selling price will be submitted to the FWBS Treasurer on the same day as the sales(s) is (are) made, unless other arrangements are made with the treasurer. C. No 10% contribution is required when either vendors or individuals have rented table/booth space directly from the Fort Worth Bonsai Society.

D. Members of the FWBS are encouraged to bring Bonsai-related items to scheduled FWBS meetings and to offer those items for sale to other club members provided compliance with Sub-articles (A) and (B), above, is made.

Article VI: Representation

No FWBS member or group of members will promote goods for sale by representing himself/herself/ themselves as the "The Fort Worth Bonsai Society" unless duly authorized to do so by a prior vote of the club membership. This is not to be construed as preventing individuals or groups of members from using the designation "A Member of the Fort Worth Bonsai Society" provided membership dues are paid in full at the time.

Article VII: Quorum

In any election or vote coming before the membership, a quorum shall be a simple majority of the members attending the meeting.

Article VIII: Fiscal Year

The fiscal year of this society shall be from January 1 through December 31.

Article IX: Meetings

The regular meeting of the Society will be held each month of the year on the second Thursday, at the Fort Worth Botanic Garden Center Conservatory, commencing at 7:00 PM, or as decided by the membership.

Article X: Amendments

At least one month must elapse between any motion to amend the By-Laws and the vote on such an amendment.
