Q:
  1. Is there anything adverse if a Board member holds the Treasurer's official papers (checks for signing, receipts and ledger)? Organization is incorporated and has bylaws. There is no bylaw, policy or procedure on this matter. Treasurer will be away during non-scheduled meeting month. Organization meets monthly except for July and August.
  2. Can a member poll other members outside of meeting on his own without officer approval?
  3. Should any and all decisions by the Board be brought to the General Body?

A:

  1. There's nothing in RONR prohibiting anyone else from holding the Treasurer's materials. For the protection of both the Treasurer and the Board member, I recommend that the transfer be itemized and receipted.
  2. Yes.
  3. Unlike those of unincorporated societies, boards of incorporated businesses have the authority to enact their decisions without the approval of the society. Check your bylaws, and perhaps consult with your attorney.
