Article I
NAME, OFFICE AND OBJECTIVES
SECTION 1.
NAME.The name of this Association shall be the "Scruggs Family Association" (hereinafter the Association).SECTION 2.
OFFICE LOCATION.The principal offices of the Association shall be located at the residence of the Secretary or at other locations as the Board of Directors may determine.SECTION 3.
OBJECTIVES.The primary objectives of the Association shall be:
- to search out, record and preserve the history and genealogy of the Scruggs family in America;
- to research the ancestry of the earliest Scruggs ancestors in America, England, and Scotland;
- to establish and maintain a Scruggs family archives and library;
- to print two issues of the publication, Searching for Scruggs, annually;
- to eventually publish in book form the geneology of the various major branches of the Scruggs family in America;
- to have a biennial Association reunion and business meeting.
Article II
MEMBERSHIP
SECTION 1.
MEMBERSHIP.
The membership of this Association shall be composed of individuals who have an interest in the history and genealogy of the Scruggs Family upon: invitation, submission of acceptable family data, and payment of the annual dues.
Article III
MEMBERSHIP DUES
SECTION 1
ANNUAL DUESThe Board of Directors may determine from time to time the amount of the annual dues. The annual dues cover the period from 01 January through 31 December inclusive and are payable by the members of the Association. Current annual dues $25.00SECTION 2.
PAYMENT OF DUES.The annual membership dues shall be payable by 01 January of each year.
Article IV
MEETING OF THE MEMBERSHIP
SECTION 1.
GENERAL MEETING.
Biennial meetings of the membership, "The Scruggs Family Reunions," shall be held for the purpose of fellowship, of informative activites, election of officers and for the transaction of such other business as may come before the meetings. They shall be held at such time and place as shall be determined by the Board.
SECTION 2.
SPECIAL MEETINGS.
Special meetings of the Association may be called by the President, a majority of the Board, or not less that one-fifth of the current membership.
SECTION 3.
NOTICE OF MEETING.
Written notice stating the place, day, and time of any meeting of the Association shall be forwarded to each member not less than 30 days before the date of such meeting, by or at the direction of the President, Vice-President or the Secretary.
SECTION 4.
PROXIES.
Proxy voting by absentees is not permitted at any meeting unless authorized by action of the Board of Directors for that specific meeting. Such authorization must be announced along with the written notice as required in Section 3, this Article.
SECTION 5.
MANNER OF VOTING.
A majority of the votes of members present shall be necessary for the adoption of any matter voted upon, unless a greater proportion is required by these Bylaws.
SECTION 6.
TAKING ACTION BY MAIL.
At the discretion of the Board of Directors, the business of the Association may be conducted by mail or other means in such a manner as shall be determined by the Board of Directors.
SECTION 7.
QUORUM.
Twenty (20) percent of the current members in good standing shall constitute a quorum for the transaction of business at a meeting.
Article V
BOARD OF DIRECTORS
SECTION 1.
GENERAL POWERS.
The Board of Directors (hereinafter the Board) shall have the authority to exercise all necessary power to manage the affairs of the Association.
SECTION 2.
NUMBER.
The Board shall consist of the following offices: President, Vice-President, Immediate Past President, Secretary, Treasurer, Editor, and Archivist. A member may serve in no more than two offices simultaneously but will have no more than one vote in matters of Board action.
SECTION 3.
REGULAR MEETINGS.
The Board determines the date, time, and place for the holding of regular meetings of the Board without other notice.
SECTION 4.
SPECIAL MEETINGS.
Special meetings of the Board may be called by the President, for the transaction of business.
SECTION 5.
QUORUM.
A majority of the members of the Board, including the President, shall consititute a quorum for the transaction of business at any meeting of the Board.
SECTION 6.
TAKING ACTION BY OTHER MEANS.
Voting on business of the Board may be conducted by mail, telephone or electronic transmission in such a manner as shall be determined by the Board. The same rules of Quorum (Section 5 above) apply.
SECTION 7.
ASSUMPTION OF OFFICE.
The newly elected members of the Board will begin their term of office immediately following the final business session of the Association at its regular biennial meeting.
Article VI
OFFICERS
SECTION 1.
OFFICERS.
The officers of the Association shall be President, Vice-President, Secretary, Treasurer, Editor of Searching for Scruggs, Archivist and other such officers as may be deemed desirable by the Board.
SECTION 2.
ELECTION AND TERMS OF OFFICE.
The President, Vice-President, Secretary, Treasurer shall be elected for the term of two years at the biennial meeting of the Association. The Editor of Searching for Scruggs and the Archivist serve at the discretion of the Board.
SECTION 3.
REMOVAL.
Any officer may be removed by a two-thirds vote of the Board voting whenever, in its judgment, the best interest of the Association would be served thereby.
SECTION 4.
VACANCIES.
Should the office of President become vacant, the Vice-President shall immediately succeed to the office of President. A vacancy in any other office may be filled for the unexpired portion of the term by appointment of the President and approval of the Board. Such an appointment will serve until the next bi-annual reunion.SECTION 5.
No member shall be placed in nomination or appointed to any office without prior verbal or written consent by that member.
SECTION 6.
PRESIDENT.
The President shall:
- be the Chief Executive Officer of the Association;
- preside at meetings of the Association and of the Board;
- communicate to the Assocation or to the Board such matters as may, in his or her opinion, promote the welfare of the Association;
- appoint all Committees of the Association;
- prepare the agenda for the meetings of the Board;
- prepare the program for the biennial meeting of the Association with the approval of the Board;
- appoint a Reunion Coordinator to assist with the physical arrangements of the biennial meeting of the Association with the approval of the Board;
- appoint one member of the Board to examine the financial records of the Association and to render a report to the Board and the membership at the biennial meeting of the Association;
- perform such other duties as are necessary and incident to the office of President or as may be prescribed by the Board.
SECTION 7.
VICE-PRESIDENT.
The Vice-President shall:
- perform the duties of the President in absence of the President;
- perform such other duties as may be prescribed by the President or the Board.
SECTION 8.
SECRETARY.
The Secretary shall:
- record the minutes of all meetings of the Association and the Board in one or more books provided for that purpose;
- send a copy of such minutes to the President and members of the Board within fourteen days after said meeting;
- receive all applications of prospective members, process and acknowldege acceptance and transfer the dues collected to the Treasurer;
- keep a hard copy of all genealogical information furnished by members or other sources;
- furnish copies of all genealogical information to the Archivist;
- conduct the correspondence of The Scruggs Family Association not otherwise provided for;
- perform such other duties as from time to time may be assigned by the President or the Board.
SECTION 9.
TREASURER
The Treasurer shall:
- collect the annual dues;
- keep a current and offical record of the membership;
- provide the President, Secretary, and the Editor of Searching for Scruggs, with a current record of all financial transactions;
- provide an acounting of all financial transactions to be presented at the biennial meeting of the Board and to the membership with Board approval on a calender year basis (January 01 through December 31);
- provide a similar accounting to the members of the Board by January 31 and July 31 of each year.
SECTION 10.
EDITOR OF SEARCHING FOR SCRUGGS
The Editor shall:
- be responsible for the issue of Searching for Scruggs, Spring and Fall, annually;
- mail copies of Searching for Scruggs to each member of record and to any other locations deemed desirable by the Board;
- compile suitable indexes for the publication.
SECTION 11.
ARCHIVIST
The Archivist shall:
- be responsible for organizing and entering all the Scruggs family genealogical information received from the Secretary in suitable computer software programs;
- keep abreast of the developments in the computer field of genealogy and report those applications that might be of benefit to the Association with recomendations;
- cooperate with the Secretary in maintaining accurate and up-to-date Association genealogical records.
Article VIII
PARLIAMENTARY AUTHORITY
SECTION 1.
The order of business of any meeting shall be determined by the Board. The current edition of ROBERT'S RULES OF ORDER NEWLY REVISED shall be accepted as the standard for guidance in all matters of the Association to which they apply, and when not in conflict with its Bylaws or rules of procedure adopted by the Board.Article IX
SECTION 1.
AMENDING BYLAWS.
These Bylaws may be amended or repealed by a majority vote of the Board, including the President, provided notice of intent to amend or repeal is given in writing to Board members at least 30 days prior to such meeting or voting procedure.SECTION 2.
Amendments to these Bylaws shall take effect upon adoption by the Board and shall appear in the issue of Searching for Scruggs following adoption.Article X
On dissolution of the Association, any funds remaining shall be distributed to one or more organized and qualifying charitable, educational, scientific, or philanthropic organizations to be selected by the Board.
