Parliamentary Procedure Q&A

Q: A special board of directors meeting has been called by the Chairman. Non-board members are welcome to all of our meeting unless it is voted a closed session. What is the extent of the non-members' involvement at the meeting? I know they can't vote, but can they enter discussions or must they just sit and observe the meeting. Our bylaws do not address this specifically. - Neil Manny, Jan. 21, 2000

A: Non-members have no rights. That they are invited to attend is a privilege which may be revoked by ordering an executive (closed) session. They may be invited to speak, but may not do so without invitation.
