Q: How do you appoint a President to a Board of Directors if the current one resigns? Our bylaws do not give any specifics. - M.L., Jan. 11, 2000

A: The Vice President fills the vacated office of the President for the remainder of the term, with the Vice Presidency becoming vacant. The body that elected the Vice President is responsible for electing a new VP, after having been given notice of election. (See RONR p. 569.)
