Q: Does a proxy count towards a quorum? - P.H., Jan. 3, 2000

A: RONR says very little about proxies. It does not directly answer this question.

However, it has been my experience that, yes, proxies do count toward quorum. Peter M. Dunbar, in The Homeowners Association Manual (Suncoast Professional Publishing Corp., 1988) Section 2.1 says, "Unless the association's bylaws otherwise provide, a majority of voting interests in the association must be present at a meeting to constitute a quorum." "Voting interests," to me, include proxies.
