Q: If there is a grievance against a member on the board of directors who has a deciding vote, should he be present as a member of the board of directors or have a vote in the proceedings? - A.N., Dec. 4, 1999

A: If by "grievance" you mean some sort of discipline (e.g., censure, suspension, etc.) then you must realize that a board has no authority to discipline one of its members (See Parliamentary Law, p. 528). Instead, the board should bring the situation to the general assembly to decide whether disciplinary procedures should be taken.

If an organization wishes to discipline one of its members, I strongly suggest that it gain a thorough understanding of RONR Section 60.
