Q:
  1. Can a club member vote at a meeting of the Board of Directors? Our bylaws say "members" can vote - and later refers to Members of the Board of Directors as "directors."
  2. Should a club member attending a Board meeting sign in as a "guest"?

  1. It would be very unusual that non-members of the board could vote at board meetings. However, if the bylaws prescribe this, then it would be appropriate. I would think it likely that there is some confusion in the interpretation of the bylaws, especially with the term "member." Does "member" mean member of the organization or member of the board? If there is this confusion, see RONR pp. 581-84 for general rules of interpretation.
  2. There is no requirement that guests sign in. However, your organization can adopt such a rule.
