Q: The Chairman of the Board called a special meeting to offer his letter of resignation effective immediately and left the meeting. The Vice-Chairman took over the meeting. The remaining members decided to wait until the next regular meeting before officially accepting the resignation, giving the resignee ample time to reconsider. At the next regular meeting the board officially accepted the resignation. No replacement has been selected, yet three months later, the former chairman brings in a letter withdrawing his resignation. A: No. Once the resignation is accepted, it's too late to withdraw it. Depending on what your bylaws say, the Vice-Chairman became the Chairman at that time.
