Q: Two questions:
  1. Can one board member also hold the member-at-large position?
  2. Is there such a thing as waiving issues against the bylaws, three weeks prior to elections, to benefit the membership - before amending it on the bylaws?

A:

  1. If your bylaws do not proscribe it, then holding two offices is possible but not advised. See RONR p. 432. This member would have the same rights as any other member, including one vote (not two), and quorum would be based on his membership (one), not his offices (two).
  2. I've never heard of any such thing. It's not found in RONR.
