Q: Our charter states: "All officers of the organization shall have one vote on any motion, or in any election. Past officers of the prior year shall retain all voting privileges for one year. Should an officer or past officer resign from the organization, that person shall no longer be considered a voting member for the purposes of establishing a quorum."

We are having difficulty in interpreting exactly what this means. If the Chairperson should resign, what will his/her voting status be? Does an officer who resigns normally forfeit any privileges or rights they may have had? - Anon., Nov. 3, 1999

A: An officer who resigns forfeits all rights and privileges - including voting rights - unless the governing documents bestow them to him. I cannot interpret the quoted passages as granting any right or privilege to a resigner; it only states that the basis for determining a quorum is reduced at the occasion of a resignation.
