Parliamentary Procedure Q&A
Q:
After the elections of new board members, one of the existing members supposedly gave a letter of resignation to another of the existing members.
The board members met to elect new officers; however, the person who would replace the resigning member was also present.
The first order of business prior to electing the officers was to accept the resignation.
Officers were then elected.
- Can a board conduct official business prior to electing officers?
- Should the acceptance of the resignation have been done at an open meeting?
- Anon., Oct. 1, 1999
A:
- Yes, if a quorum is present and the board's rules allow it.
- There is no requirement that a resignation be accepted at an open meeting.
