Q: After the elections of new board members, one of the existing members supposedly gave a letter of resignation to another of the existing members. The board members met to elect new officers; however, the person who would replace the resigning member was also present. The first order of business prior to electing the officers was to accept the resignation. Officers were then elected.
  1. Can a board conduct official business prior to electing officers?
  2. Should the acceptance of the resignation have been done at an open meeting?
