A: Yes, unless you have a special rule of order or a bylaw that allows otherwise. RONR p. 447 says that approval by the members of the board by telephone doesn't imply approval by the board, since they were not together where they could debate the issue. If the board took an action this way in an emergency situation, it would still need to be ratified by the board at its next meeting.
