Parliamentary Procedure Q&A

Q: Our bylaws state that "No Board member shall be appointed or elected to the Board who is related to within the second degree of blood relationship or marriage to another Board member." The person who was elected as a Board member at this month's election is the sister to the present Treasurer of the past term. Our problem is that no one else is willing to - or even is capable of - accepting the office of the Treasurer except this sister.

Could the Board create another title to her job such as an Office Manager? She would not be classed as a member of the Board but would be able to keep our books etc. If this is a possibility, what rules or procedure is in order? - Delores Nolan, Jun. 8, 1999

A: Boards may not create an office. This may only be done by amendment to the bylaws. (Since the bylaws specifically list what officers your organization has, others are thereby prohibited (RONR pp. 582-583.)) However, the sister can work as an assistant, responsible to the Board member personally.
