Q: If an election needs to be re-held, then can a special meeting be called to hold an election of officers or must it be at a regularly scheduled meeting? - Michael Quinn, Feb. 11, 1999

A: First, check your bylaws for the authority to hold special meetings. If the bylaws are silent on this, you cannot have a special meeting for any purpose. (RONR p. 236-7.)

If special meetings are authorized, then a special meeting may be called to conduct an election. Be aware that sufficient notice must be delivered to the members, and that a quorum must be present to conduct the election.
