Q: Can a person elected to membership on the Executive Council of an organization governed by Robert's Rules of Order hold more than one position?

Bylaws specifically state that:
2.11 RULES OF ORDER
Robert's Rules of Order shall govern the proceedings of all meetings, except where same conflicts with the laws of The WBBA.
6.01B EXECUTIVE COUNCIL
This body shall be established from within the Board of Directors. The members of the Executive Council shall consist of the President, immediate Past President, Secretary, Treasurer, VP Resources, VP Baseball Operations, VP Softball Operations and Sponsorship/Fund Raising Chairperson.

In a recent meeting, the Treasurer nominated himself and was elected to the position of VP Softball Operations. There is nothing written in the rules to state that no member of the Executive Council may hold more than one of the listed positions.

The VP Softball Operations is empowered to sit in for the President at meetings of the Executive Council or Board of Directors. (There is also nothing in the rules to prevent the President and Treasurer from being one and the same person.)

My concern is that the duplicate office will affect the result of some votes on difficult issues. Even if the member casts only one vote, the result can be compromised by withholding a possible dissenting vote. - M.B.M., Nov. 16, 1998

A: There is no prohibition in RONR against a member holding more than one office. (RONR p. 432.) In many clubs I'm acquainted with, the offices of Secretary and Treasurer are held by one person. But as you point out, there are problems with this. It makes each member's vote much more "potent." In your Executive Council, each member's vote is 14% (1/7th) more powerful than it would be if your Treasurer and VP Softball Operations were two people. Also, its quorum is reduced from five to four (meaning it takes fewer members to conduct a meeting). (And, yes, each member casts only one vote regardless of the number of offices held.)

One remedy is to amend the bylaws or adopt a Special Rule of Order to the effect that "No member may hold more than one office at any time. Any member elected to more than one office shall choose one; the offices thus becoming vacant shall be filled by election."

If this motion is adopted, it takes effect immediately; that is, any member holding two offices must immediately choose one, the other becoming vacant.
