Q: Can the elected board make a motion to not follow the bylaws? Can the elected committee overrun the desires of the members? Do members have any rights after the board is elected? - Josh, Nov. 5, 1998

A: Any motion to not follow the bylaws is out of order. (RONR p. 337.) If any such motion is adopted, it is null and void.

Committees (and non-corporate boards) are subordinate to their appointing body. They have only that authority granted to it by the appointing body and/or the bylaws.

No member's rights are diminished by a board. A board acts for the members between regular meetings of the association, but is responsible to the association for its actions.
