Spawn has the definite advantage of energy blasts over Carnage, no questions asked.  His cape would make a useful shield against the bladed hands of Carnage.  Other than the energy blasts and cape, it would be interesting to see which kind of weapons these two could come up with to rip into the other.

        If it comes down to whoever makes the better weapon first wins, Spawn may find it a difficult challenge to top the diabolically twisted mind of Carnage.  The madman's mind was created with the specific intent of making up new ways to tear through another being.

        With the symbiote giving Carnage the agility of Spider-Man, Carnage could try bouncing around, dodging Spawns energy blasts until Spaw gets so frustrated that he loses focus and therefore, control of the suit.  The only problem with that is that Carnage doesn't fight like that, he just isn't that bright.

        If Spawn hits Carnage with enough energy, he's got him, but if it comes down to costume controlled weapons, Carnage may put it off.
